1. General Provisions

1.1 Welcome to AgentOS. This User Service Agreement ("Agreement") is entered into by you ("User") and Beijing Tianyi Baobao Digital Technology Co., Ltd. ("Company") regarding the AgentOS platform and related services. Please read this Agreement carefully before registering or using AgentOS.

1.2 By registering, downloading, installing, or otherwise using AgentOS, you acknowledge that you have fully read, understood, and agreed to all terms of this Agreement. If you do not agree, please stop using AgentOS.

1.3 The Company reserves the right to amend this Agreement as needed. Amendments will be published via the AgentOS client or official website. Continued use of AgentOS after amendments constitutes acceptance.

2. Definitions

2.1 AgentOS: The universal AI Agent client platform developed and operated by the Company, including desktop (Windows, macOS, Linux), mobile (Android, iOS) applications and associated server-side services.

2.2 AI Services: Artificial intelligence conversation, content generation, and task execution features provided through AgentOS, including the built-in AI assistant and external AI Agents connected via standard protocols.

2.3 Skills: Functional modules that can be installed, used, and shared on AgentOS, including SKILL.md skills, MCP protocol skills, and HTTP external skills.

2.4 Skill Store: The built-in platform for discovering, installing, and sharing skills within AgentOS.

2.5 Third-Party Services: Services provided by parties other than the Company, accessed through AgentOS, including but not limited to third-party AI model services, MCP tool servers, and product suppliers.

2.6 Product Purchase Services: E-commerce functionalities such as browsing, ordering, payment, and delivery provided through AgentOS skills (e.g., book purchases).

3. Account Registration and Management

3.1 Registration is required for certain features. You must provide accurate and complete information and update it as needed.

3.2 You are responsible for safeguarding your account credentials. Losses caused by credential disclosure due to your own actions are your responsibility.

3.3 Your account is for personal use only and may not be transferred, lent, or shared.

3.4 The Company may suspend or terminate accounts that exhibit abnormal behavior or violate this Agreement or applicable laws.

4. Services and Usage Rules

4.1 AgentOS provides the following services:

  • AI conversation and task execution
  • Multi-model intelligent dispatching (based on DeepSeek, Moonshot/Kimi, ZhipuAI, and other mainstream domestic large language models that have completed generative AI service registration with the Cyberspace Administration of China)
  • Skill Store: browsing, installing, using, and sharing skills
  • MCP protocol tool server integration
  • Product purchase services (e.g., book purchases)
  • Cross-platform data synchronization
  • Other features the Company may introduce from time to time

4.2 List of Third-Party Large Language Models: AgentOS calls the following third-party LLMs via API, all of which have completed generative AI service registration with the Cyberspace Administration of China:

  • DeepSeek (Registration No.: 网信算备110108970550101240011号)
  • Moonshot/Kimi (Registration No.: 网信算备110108896786101240015号)
  • ZhipuAI (Registration No.: 网信算备110108105858001230019号)

All API calls are completed within mainland China and do not involve cross-border data transfer. The list of models may change due to business adjustments; the Company will publish the latest list on the official website.

4.3 Services may be temporarily interrupted due to maintenance, upgrades, or network issues. The Company will make reasonable efforts to minimize disruptions.

4.4 Some features may require you to provide your own third-party API Keys (e.g., AI model API Keys). You are responsible for the lawful acquisition and secure use of such keys.

5. Special Terms for AI Services

5.1 Content Accuracy: AI-generated content is based on large language model technology and may be inaccurate, incomplete, or outdated. AI output is for reference only and does not constitute professional advice (including but not limited to legal, medical, or financial advice). Users should independently verify AI-generated content.

5.2 Model Services: AgentOS supports multiple third-party AI models. Output quality, response time, and availability may vary. The Company does not guarantee the performance of third-party model services.

5.3 Conversation Data: Your AI conversation content may be sent to the AI model service provider you selected. Please be mindful of sensitive information in conversations. Each model provider's data handling is governed by their own privacy policies.

5.4 Content Compliance: You must not use AI services to generate content that violates laws, infringes on others' rights, or is contrary to public morals.

5.5 AI Actions: AI Agents may invoke skills or third-party services when executing tasks. You should confirm before AI Agents perform significant operations involving funds or data modifications. The Company is not liable for losses caused by unconfirmed operations.

5.6 AI-Generated Content Labeling: All AI-generated content produced through AgentOS is labeled in identifiable ways (such as UI markers or "AI-generated" tags at the bottom of messages) to inform users. Please properly attribute the source when using, citing, or distributing AI-generated content.

5.7 Third-Party Model Disclosure: All third-party large language models called by AgentOS have completed generative AI service registration with the Cyberspace Administration of China; the detailed list is in Section 4.2. AgentOS itself does not perform any form of model training or fine-tuning.

5.8 Content Moderation Mechanism: AgentOS has comprehensive content safety review mechanisms covering both your inputs and AI outputs, including sensitive word filtering and compliance checks on generated content. If content is found to violate laws, infringe on others' rights, or contradict public morals, the Company will take measures including filtering, blocking, or suspending accounts as appropriate.

5.9 Prohibited User Conduct: You must not use AgentOS for any of the following activities:

  • Opposing the basic principles established by the Constitution, endangering national security, damaging national interests, or undermining national unification
  • Damaging national honor and interests
  • Inciting ethnic hatred or discrimination, undermining ethnic unity
  • Undermining national religious policy, promoting cults or feudal superstition
  • Spreading rumors, disrupting social order, or undermining social stability
  • Spreading obscene, pornographic, gambling, violent, murderous, terrorist content, or instigating crime
  • Insulting or defaming others, infringing on others' legitimate rights
  • Other content prohibited by laws and administrative regulations

5.10 Account Suspension and Appeal: When the system detects the aforementioned violations, the Company has the right to suspend your account. Suspended accounts may appeal by emailing service@tybbtech.com with their phone number and appeal reason. The Company will respond within 7 business days via email.

6. Algorithm Recommendation and Personalization

6.1 AgentOS uses the following algorithms to provide personalized services:

  • Proactive Care Engine: Pushes content based on your interest preferences and active time periods
  • Skill Store Recommendations: Sorts the Skill Store based on your usage history
  • Memory Personalization: Adjusts AI assistant's reply style based on your past conversations

6.2 You may at any time disable all personalization algorithms via the master switch at [Settings → Privacy & Compliance → Personalized Recommendations]. After disabling:

  • Proactive Care Engine stops pushing
  • Skill Store reverts to default sorting
  • Memory Personalization stops applying; AI no longer adjusts replies based on past conversations

6.3 After disabling personalization, you can still use all basic AgentOS features. Toggling this switch does not affect membership benefits you have purchased.

6.4 AgentOS does not use purely automated decisions to make significant decisions affecting you. Measures such as account suspension and content filtering will be communicated through explicit notifications with appeal channels available.

7. Skill Store and Third-Party Services

7.1 Skills in the Skill Store may be provided by the Company or third-party developers. Third-party developers are responsible for their skills' functionality and security.

7.2 Third-party tool servers connected via MCP or other protocols are the responsibility of their respective providers regarding service quality, data security, and privacy.

7.3 When using third-party skills or services, you should comply with the applicable terms of service. Disputes arising from third-party services should be resolved with the respective providers first.

7.4 Skills may require specific system permissions (file access, network requests, etc.). AgentOS will display required permissions during installation or first use.

8. Product Purchase Services

8.1 AgentOS provides product purchase services (e.g., book purchases) through designated skills.

8.2 Product Information: Product details (name, price, stock, images, etc.) are provided by suppliers. The Company makes reasonable efforts to ensure accuracy but does not guarantee completeness.

8.3 Orders and Contracts: Upon placing an order and completing payment, a purchase contract is formed between you and the product supplier. The Company serves as a technology platform facilitating order processing and payment integration.

8.4 Payment: Payments are processed through Digital RMB (DCEP) or other supported payment methods. Payment security is ensured by the respective payment service providers.

8.5 Delivery: Products are delivered by suppliers or their logistics partners according to the terms displayed at the time of order.

8.6 After-Sales: Returns and exchanges are handled according to the supplier's after-sales policy. Please contact AgentOS customer service or the Company for assistance.

8.7 Pricing: Product prices may change at the supplier's discretion. The price at the time of order placement shall prevail.

9. Intellectual Property

9.1 Intellectual property rights of the AgentOS platform (software, technology, UI design, icons, copy, etc.) belong to the Company, except for open-source components which follow their respective licenses.

9.2 Content created by users through AgentOS (conversation records, custom skills, etc.) belongs to the users, who grant the Company a license necessary for service provision.

10. User Conduct

10.1 You shall not:

  • Use AgentOS for any activity that violates applicable laws or regulations
  • Publish or distribute illegal, harmful, threatening, defamatory, or obscene content
  • Use AI services to generate false information, malicious content, or content for fraudulent purposes
  • Access, interfere with, or damage AgentOS or other users' data without authorization
  • Reverse engineer, decompile, or disassemble AgentOS
  • Conduct large-scale automated operations that impose unreasonable burden on servers
  • Upload skills or content containing malicious code
  • Any other conduct the Company reasonably deems inappropriate

10.2 The Company may take measures including warnings, feature restrictions, account suspension, or permanent bans for violations.

11. Membership Subscription Terms

11.1 Subscription Content: LingXi Membership is a comprehensive subscription to the AgentOS platform. Members enjoy higher resource quotas for all built-in skills on the platform (including AI conversation, search, image generation, proactive care, BYOK, etc.); specific quotas are available in the "Membership Center" in the client. Membership fees cover the platform's integrated operational costs (including but not limited to servers, data maintenance, third-party model API calls, and customer support), and are not charged on a per-call basis for any individual service.

11.2 Pricing: Monthly membership ¥38 (iOS) / ¥29 (other platforms), yearly membership ¥388 (iOS) / ¥288 (other platforms). Prices may change due to platform policies or business adjustments, with prior notice.

11.3 Auto-Renewal: Subscriptions auto-renew before expiration. For iOS users, renewal fees are charged from the Apple ID account within 24 hours before the current period ends. You can cancel auto-renewal at any time in iPhone Settings → Apple ID → Subscriptions.

11.4 Refund Policy: A one-time no-questions-asked refund is available within 3 days of first purchase (once per account). For iOS subscription refunds, please apply through Apple (reportaproblem.apple.com).

11.5 Membership Expiry: After expiry, there is a 3-day grace period during which membership features remain available. If not renewed after the grace period, membership benefits will be revoked and the account downgraded to the free tier.

11.6 Service Changes: The Company reserves the right to adjust membership benefits and pricing, with prior notice via the AgentOS client or official website.

12. Privacy Protection

12.1 The Company values your privacy. Please refer to our Privacy Policy for details on personal information collection, use, storage, and protection.

12.2 The Privacy Policy is an integral part of this Agreement and has equal legal effect.

13. Protection of Minors

13.1 AgentOS is primarily intended for adult users aged 18 and above. If you are under 18, please read this Agreement and use AgentOS under the guidance of a guardian.

13.2 Guardians should supervise minors' reasonable use of AgentOS, preventing exposure to inappropriate content, over-reliance on AI services, or unhealthy usage habits.

13.3 The Company does not knowingly collect personal information from minors. If you discover that a minor has provided personal information without guardian consent, please contact service@tybbtech.com and we will delete the relevant information within a reasonable period.

13.4 The Company applies additional restrictions in AI content moderation for content involving minors that is illegal, vulgar, or detrimental to minors' physical and mental health.

13.5 Guardians have the right to exercise all user rights under this Agreement on behalf of minors, including but not limited to access, correction, deletion of personal information, and account cancellation.

14. Complaint and Reporting Channels

14.1 Content Reporting: If you discover illegal, non-compliant, harmful, or inappropriate content in AgentOS (including AI-generated content, other users' content, third-party skills, etc.), you may report it through the following channels:

  • Client: Settings → Privacy & Compliance → Report a Problem
  • Email: service@tybbtech.com

14.2 Reporting Feedback: The Company will verify and process reports within 15 business days of receipt, and respond via email to the address you provided.

15. Disclaimers and Limitation of Liability

15.1 As an AI Agent client platform, AgentOS connects and aggregates various AI services and third-party tools. The Company does not bear direct responsibility for the content, quality, availability, or security of third-party services.

15.2 The Company makes no express or implied warranties regarding the accuracy, completeness, or suitability of AI-generated content.

15.3 The Company is not liable for service interruptions or losses caused by force majeure, third-party service failures, user device or network issues, improper use, or user-configured MCP servers or third-party skills.

15.4 To the maximum extent permitted by law, the Company's total liability shall not exceed the total service fees actually paid by the User to the Company in the 12 months preceding the dispute.

16. Breach of Agreement

16.1 If you breach any term of this Agreement, the Company may require immediate correction and take measures including service suspension, account termination, and legal action.

16.2 You shall be fully liable for any losses caused to the Company or third parties by your breach.

17. Amendment and Termination

17.1 The Company may amend this Agreement as needed. Amendments take effect upon publication.

17.2 If you disagree with amendments, you may stop using AgentOS and cancel your account.

17.3 You may cancel your account at any time. Upon cancellation, your data will be handled according to the Privacy Policy.

17.4 The Company may terminate or adjust all or part of AgentOS services with prior notice.

18. Force Majeure

18.1 Neither party shall be liable for failure to perform obligations due to force majeure, including natural disasters, government actions, changes in laws, war, strikes, cyber attacks, network viruses, or telecom infrastructure changes.

18.2 The affected party shall notify the other party promptly and take reasonable steps to mitigate losses.

19. Governing Law and Dispute Resolution

19.1 This Agreement is governed by the laws of the People's Republic of China.

19.2 Disputes shall be resolved through amicable negotiation first. If negotiation fails, either party may file a lawsuit with the competent court in the jurisdiction where the Company is located.

20. Miscellaneous

20.1 This Agreement constitutes the entire agreement between the parties regarding AgentOS services.

20.2 If any provision is deemed invalid, the remaining provisions shall remain in effect.

20.3 Failure to exercise any right under this Agreement does not constitute a waiver of that right.
